BOI guidance changed materially. Review the current rule rather than relying on old deadline calculators or blanket warnings aimed at every U.S. LLC.
Domestic entities are exempt under the current final rule
FinCEN announced a final rule on August 11, 2026, effective August 14, 2026, that exempts U.S.-created entities from BOI reporting requirements. It also changes how U.S. persons are treated in reports filed by covered foreign entities.
Why older pages can be misleading
Older articles may describe requirements and deadlines that no longer apply to domestic entities. Review dates, primary sources, and the entity type before relying on any compliance recommendation.
